1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Jewelix ("Company," "we," "us," or "our"), a company located in the United States, governing your access to and use of the Jewelix platform, website (jewelix.app), and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Service.

If you are using the Service on behalf of a business or legal entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

Jewelix provides an AI-powered jewelry photography platform that enables users to:

• Upload product images for AI-powered background removal and scene generation
• Generate photorealistic backgrounds and scenes using artificial intelligence
• Apply branding elements (logos, watermarks) to generated images
• Batch process multiple images with consistent settings
• Generate short product videos from still images
• Manage and export generated content in various formats

The Service uses third-party AI providers to generate content. Results are produced by artificial intelligence and may vary. We do not guarantee specific outcomes, styles, or quality levels for any individual generation.

3. Account Registration & Security

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your login credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or are used for unauthorized purposes. You must be at least 16 years old to create an account.

4. Acceptable Use Policy

You agree NOT to use the Service to:

• Upload, generate, or distribute content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
• Infringe upon intellectual property rights of third parties
• Upload content depicting minors in any inappropriate context
• Generate deceptive, misleading, or fraudulent product imagery intended to misrepresent the actual product
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Use automated bots, scrapers, or similar tools to access the Service without authorization
• Overload, disrupt, or impair the Service infrastructure
• Circumvent usage limits, authentication, or access controls
• Resell, sublicense, or redistribute the Service without written permission
• Use the Service to compete directly with Jewelix by building a similar product

Violation of this policy may result in immediate account termination without refund.

5. Intellectual Property Rights

5.1 Your Content

You retain all ownership rights to the images you upload ("Your Content"). By uploading content, you grant Jewelix a limited, non-exclusive, royalty-free license to process, store, and display Your Content solely for the purpose of providing the Service to you.

5.2 Generated Content

Subject to your compliance with these Terms and applicable law, you own the output images generated by the Service using Your Content ("Generated Content"). You may use Generated Content for any lawful commercial or personal purpose.

However, you acknowledge that:

• Generated Content is produced by AI and may contain elements similar to other users' outputs
• We cannot guarantee that Generated Content does not inadvertently resemble third-party copyrighted material
• You are solely responsible for ensuring your use of Generated Content complies with applicable laws and third-party rights

5.3 Our Intellectual Property

The Service, including its software, algorithms, user interface, design, trademarks, logos, and documentation, is the exclusive property of Jewelix and is protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, trade names, or branding.

6. Subscription, Payment & Credits

6.1 Plans & Credits

The Service offers free and paid subscription plans. Each plan includes a monthly allocation of AI generation credits. Unused credits do not roll over to the next billing period unless explicitly stated otherwise.

6.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis through our payment processor (Stripe). By subscribing, you authorize recurring charges to your payment method. Prices are in USD unless stated otherwise and are exclusive of applicable taxes.

6.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds will be issued for partial billing periods.

6.4 Refund Policy

Refunds are generally not provided for digital services that have been delivered. However, if you experience a significant service outage or technical issue that prevents you from using your credits, you may contact us within 14 days to request a goodwill credit or refund at our sole discretion.

6.5 Price Changes

We reserve the right to modify pricing with at least 30 days' advance notice. Existing subscribers will be grandfathered at their current rate until the end of their billing period.

7. Service Availability & Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. We reserve the right to:

• Perform scheduled maintenance with reasonable advance notice
• Modify, suspend, or discontinue any feature or aspect of the Service
• Update AI models, which may result in changes to generation quality or style
• Impose or modify usage limits at any time

In the event of a permanent discontinuation of the Service, we will provide at least 60 days' notice and allow you to export your content.

8. Disclaimers & Warranty Exclusions

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the maximum extent permitted by applicable law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Service will be uninterrupted, error-free, or secure
• Any warranty regarding the accuracy, reliability, or quality of AI-generated content
• Any warranty that Generated Content will be free from defects or suitable for any specific use

AI-generated images are produced by automated systems and may contain artifacts, inaccuracies, or imperfections. You are responsible for reviewing all Generated Content before use.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• No Indirect Damages: Jewelix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, regardless of the theory of liability.
• Cap on Direct Damages: Our total aggregate liability for any and all claims arising from or related to the Service shall not exceed the greater of: (a) the amount you paid to Jewelix in the 12 months preceding the claim, or (b) $100 USD.
• No Liability for AI Outputs: We are not liable for any damages arising from your use of or reliance on AI-generated content, including but not limited to claims of intellectual property infringement by third parties.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Jewelix, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to:

• Your use of the Service or any Generated Content
• Your violation of these Terms or any applicable law
• Your Content infringing any third-party intellectual property or other rights
• Any claim that your use of Generated Content caused damage to a third party
• Your misrepresentation of products using AI-generated imagery

11. Termination

11.1 By You

You may terminate your account at any time by using the account deletion feature or contacting support@jewelix.app. Upon termination, your right to use the Service ceases immediately. You may export your content before termination.

11.2 By Us

We may suspend or terminate your account immediately, without prior notice, if:

• You breach any provision of these Terms
• You engage in fraudulent, abusive, or illegal activity
• Your account has been inactive for more than 12 consecutive months
• We are required to do so by law

11.3 Effect of Termination

Upon termination: (a) all licenses granted to you under these Terms immediately cease; (b) you must cease all use of the Service; (c) we will delete your account data within 30 days, except where retention is required by law. Sections 5, 8, 9, 10, 12, and 13 survive termination.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall be resolved as follows:

• Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting us at support@jewelix.app. We will attempt to resolve the dispute within 30 days.
• Jurisdiction: If informal resolution fails, disputes shall be submitted to the exclusive jurisdiction of the state and federal courts located in Delaware, United States.
• EU Users: If you are located in the EU, nothing in these Terms deprives you of mandatory consumer protection rights under the laws of your country of residence, or limits your right to bring proceedings in your local courts.

13. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Jewelix.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force and effect.
• Waiver: Our failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations freely.
• Force Majeure: We are not liable for failures or delays caused by circumstances beyond our reasonable control (natural disasters, war, pandemics, infrastructure failures, third-party service outages).
• Notices: We may send notices to the email address associated with your account. You may send notices to support@jewelix.app.
• Headings: Section headings are for convenience only and have no legal effect.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service and delete your account.
